1. Introduction and Definitions

1.1. The Agreement

This Affiliate Program Policy ("Policy") constitutes a legally binding agreement between you ("Affiliate," "you," or "your") and TrekGuider Inc., a Delaware corporation ("TrekMail," "we," "us," or "our"), governing your participation in the TrekMail Affiliate Program (the "Program").

By submitting an application to the Program, accepting an invitation, or accessing the affiliate dashboard, you confirm that you have read, understood, and agree to be bound by this Policy, our Terms of Use, and our Privacy Policy. If you do not agree, you may not participate in the Program.

1.2. Key Definitions

  • "Affiliate": An individual or legal entity approved by TrekMail to participate in the Program and promote the Service in exchange for commissions.
  • "Affiliate Link": A unique tracked URL issued to the Affiliate through the TrekMail affiliate dashboard.
  • "Attribution Window": The period of 30 days following a click on an Affiliate Link during which a Referred Customer's signup is attributed to that Affiliate.
  • "Available Balance": Commissions that have passed the Hold Period and are eligible for payout.
  • "Clawback": A negative adjustment to an Affiliate's balance resulting from a refund, chargeback, or reversal of a previously credited commission.
  • "Commission": The monetary amount earned by an Affiliate for a Qualified Purchase, calculated as a percentage of Net Revenue.
  • "Net Revenue": Gross revenue actually received by TrekMail from subscriptions and one-time purchases (such as verification credit packs), excluding applicable taxes, payment processing fees, refunds, and chargebacks/disputes.
  • "Pending Balance": Commissions that have been earned but are within the Hold Period and not yet Available.
  • "Qualified Purchase": A subscription payment or one-time credit purchase by a Referred Customer that triggers a Commission under this Policy, as further described in Section 5.
  • "Referred Customer": A new TrekMail customer who (a) clicked an Affiliate Link within the Attribution Window, (b) signed up for a TrekMail account, and (c) completed a Qualified Purchase.
  • "Service": The TrekMail email hosting platform and related services offered by TrekGuider Inc.

2. Eligibility and Application

2.1. Eligibility Requirements

To participate in the Program, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater).
  • Have an active TrekMail account in good standing.
  • Not be located in, under the control of, or a national or resident of any country subject to United States embargo, and not be listed on the U.S. Treasury Department's Specially Designated Nationals (SDN) List.
  • Have a legitimate audience, platform, or promotional channel through which you intend to promote the Service.
  • Comply with all applicable laws and regulations in your jurisdiction, including those related to advertising disclosure, privacy, and anti-spam.

2.2. Application and Approval

Participation in the Program requires submitting an application and receiving written approval from TrekMail. TrekMail reserves the right, in its sole discretion, to approve or deny any application without explanation, and to revoke approval at any time for any reason, including changes in your promotional methods, audience, or compliance status.

Approval of your application is not a guarantee of any earnings or continued Program participation. TrekMail may place your application in a pending review state while conducting due diligence.

2.3. One Account Per Affiliate

Each individual or legal entity may maintain only one affiliate account. Operating multiple affiliate accounts to circumvent limits, tier assignments, or fraud controls is strictly prohibited and may result in termination of all associated accounts and forfeiture of all pending and available commissions.


3. Commission Tiers

3.1. Tier Structure

Commissions are calculated as a percentage of Net Revenue based on the Affiliate's assigned tier:

  • Tier 1: 30% of Net Revenue.
  • Tier 2: 35% of Net Revenue.
  • Tier 3: 40% of Net Revenue.

3.2. Tier Assignment and Changes

Tier assignment is made manually by TrekMail administrators at the time of approval or thereafter. TrekMail may upgrade or downgrade an Affiliate's tier at its sole discretion. TrekMail will make reasonable efforts to notify the Affiliate of any downgrade at least 14 days in advance. Tier changes apply prospectively to new Commissions only and do not affect commissions already credited to the Affiliate's balance.


4. Attribution Rules

4.1. Last-Click Attribution

TrekMail uses a last-click attribution model. If a prospective customer clicks multiple Affiliate Links before signing up, only the most recent click within the Attribution Window will receive credit for that signup.

4.2. Attribution Window

The Attribution Window is 30 days from the date of an Affiliate Link click. If the prospective customer does not sign up within this window, the click will not result in attribution.

4.3. Attribution Is Fixed at Signup

Attribution is determined at the time a Referred Customer creates their TrekMail account and is not automatically reassigned after that point. If a Referred Customer later clicks a different Affiliate Link, that click does not transfer or override the original attribution.

4.4. Self-Referral Prohibition

Affiliates may not use their own Affiliate Links to sign up for TrekMail accounts for themselves, family members sharing the same household, or any legal entity they own or control. Any commissions resulting from self-referrals will be reversed and may result in account termination. See Section 13 (Fraud and Abuse) for further consequences.


5. Qualified Purchases and Commission Triggers

5.1. Trial Period

TrekMail offers a 14-day free trial period. No commission is earned during the trial period. The trial period is non-commissionable regardless of whether the Referred Customer uses the Service during the trial.

5.2. Commission Trigger Event

A Commission is created upon a successful payment event — specifically, when TrekMail's payment processor confirms receipt of either (a) a paid subscription invoice or (b) a completed one-time purchase (such as a verification credit pack) from a Referred Customer. Failed payments, declined charges, and processing retries do not trigger a Commission until the payment is successfully collected. The same commission rate and calculation method apply to both subscription and one-time payments.

5.3. Plan Changes

If a Referred Customer upgrades or downgrades their subscription plan, the Commission for each billing period is calculated on the Net Revenue of that period's paid invoice. Plan changes do not reset or extend the Commission Period defined in Section 6.


6. Commission Period

6.1. Duration

Revenue share commissions apply for up to 12 months from the date of a Referred Customer's first Qualified Purchase. After this period expires, the Commission rate for that Referred Customer automatically becomes 0%, and no further commissions will be earned from that customer's payments regardless of their continued subscription status.

6.2. No Reset on Pause or Reactivation

The Commission Period does not reset if a Referred Customer pauses, cancels, or reactivates their subscription. The 12-month clock runs from the date of the first Qualified Purchase and is not affected by subsequent account status changes.


7. Net Revenue Calculation

7.1. Definition

Commissions are calculated exclusively on Net Revenue, defined as:

  • Gross revenue actually received by TrekMail from the Referred Customer (from subscriptions and one-time purchases such as verification credit packs);
  • minus applicable sales taxes, VAT, GST, or similar taxes collected and remitted to tax authorities;
  • minus payment processing fees charged by third-party payment processors (e.g., Stripe);
  • minus the amount of any refunds issued to the Referred Customer;
  • minus the amount of any chargebacks, disputes, or forced reversals.

7.2. TrekMail's Calculation Is Final

TrekMail's calculation of Net Revenue and resulting Commission amounts is final and binding, subject to good-faith review upon written request from the Affiliate within 30 days of the commission being credited.


8. Commission Hold Period

8.1. Pending Status

All newly created commissions are placed in Pending (On Hold) status. Pending commissions are not eligible for payout. The Hold Period is 30 days from the date each commission is created.

8.2. Release to Available

After the Hold Period expires and provided no reversal event (refund, chargeback, or fraud review) has occurred, the commission is moved to Available status and becomes eligible for payout.

8.3. Extended Hold

TrekMail reserves the right to extend the Hold Period for any commission if there is a pending dispute, active fraud investigation, open chargeback, or other unresolved issue related to the underlying transaction. TrekMail will make reasonable efforts to notify the Affiliate of any material extension.


9. Refunds, Chargebacks, and Clawbacks

9.1. Reversal Entries

When a refund is issued to a Referred Customer or a chargeback/dispute results in a payment reversal, TrekMail will create a corresponding reversal entry that reduces the Affiliate's balance by the previously credited commission amount associated with that transaction.

9.2. Clawback of Paid Commissions

If a reversal is applied to a commission that has already been paid out to the Affiliate, the reversal amount will be carried forward as a negative balance (Clawback) and deducted from future payouts. If the Affiliate's account is terminated before the negative balance is recovered, TrekMail reserves the right to demand repayment of the outstanding Clawback amount through available legal means.

9.3. Fraud-Related Reversals

In cases where commissions are determined to have been generated through fraudulent activity, self-referral, or other violations of this Policy, TrekMail may reverse all commissions associated with such activity — regardless of their Pending, Available, or Paid status — without prior notice to the Affiliate.


10. Payouts

10.1. Manual Payouts

Payouts are processed manually by TrekMail. There is no automatic or scheduled payout cycle. Affiliates must request payouts through the TrekMail affiliate dashboard. TrekMail does not use Stripe Connect or any automated disbursement platform.

10.2. Minimum Payout Threshold

The minimum payout amount is $50.00 from Available balance. Payout requests below this threshold will not be processed.

10.3. Payout Processing

TrekMail processes payout requests manually after internal review. Once approved, TrekMail may use Stripe Global Payouts, PayPal, or another supported payment rail to send funds. Stripe delivery options may include standard delivery in approximately 2 to 3 business days and faster options where available. PayPal delivery timing depends on the Affiliate's PayPal account, country, and any review applied by PayPal. TrekMail will endeavor to process approved payout requests within 30 business days of submission, but all delivery times are estimates only and are not guaranteed.

10.4. Affiliate Payout Information

The Affiliate is solely responsible for providing accurate and current payout details. Where TrekMail uses Stripe Global Payouts, the Affiliate may be asked by Stripe to choose an available delivery option and submit recipient details directly to Stripe after payout approval. Where TrekMail uses PayPal, the Affiliate must provide a valid PayPal email address. TrekMail is not liable for misdirected payments resulting from incorrect information provided by the Affiliate, and TrekMail reserves the right to withhold payment pending verification of the Affiliate's identity, payout details, or tax documentation.

Any payout processing fees, transfer fees, card delivery fees, instant payout fees, PayPal fees, correspondent banking charges, currency conversion fees, or similar third-party payout costs may be deducted from the Affiliate's payout amount before funds are sent.

10.5. Currency

All commissions and payouts are denominated in United States Dollars (USD) unless otherwise expressly agreed in writing by TrekMail.


11. Tax Obligations

11.1. Affiliate Is Solely Responsible

The Affiliate is solely responsible for determining and fulfilling all tax obligations arising from commissions received under this Policy, including income taxes, self-employment taxes, VAT, GST, and any other applicable levies in the Affiliate's jurisdiction. TrekMail is not responsible for withholding, reporting, or remitting taxes on behalf of the Affiliate, except as required by applicable law.

11.2. Tax Documentation

TrekMail may, at its discretion or as required by law, request tax documentation prior to issuing any payout. U.S.-based Affiliates may be required to provide a completed IRS Form W-9. Non-U.S. Affiliates may be required to provide an IRS Form W-8BEN or W-8BEN-E (or equivalent). TrekMail may request this documentation once the Affiliate becomes eligible for payout, including when the Affiliate's Available balance reaches the minimum payout threshold. Failure to provide requested tax documentation within a reasonable time may result in withholding of payouts until documentation is received.

11.3. Withholding

Where required by applicable law, TrekMail may withhold taxes from payout amounts at the applicable statutory rate and remit them to the relevant tax authority on the Affiliate's behalf. TrekMail will provide documentation of any withholding upon request.


12. Affiliate Links and Promotional Standards

12.1. Permitted Activities

Affiliates may:

  • Create multiple Affiliate Links with custom labels and UTM parameters through the affiliate dashboard.
  • Use TrekMail-provided logos, banners, and promotional copy in accordance with TrekMail's brand guidelines.
  • Publish honest, accurate, and original reviews, tutorials, and comparisons of the Service on their own platforms.
  • Promote the Service through organic search, social media, newsletters, and content marketing to genuine audiences.

12.2. Prohibited Promotional Practices

Affiliates may not:

  • Brand Keyword Bidding: Bid on the keywords "TrekMail," "TrekGuider," or any confusingly similar variation in paid search advertising (Google Ads, Bing Ads, etc.).
  • Spam and Unsolicited Messages: Send unsolicited bulk email (UBE), SMS, or messages promoting TrekMail to individuals who have not expressly opted in to receive such communications.
  • Cookie Stuffing: Use any technique to artificially inflate click counts or force attribution cookies onto users' browsers without a genuine user click on an Affiliate Link.
  • Misleading Claims: Make false, exaggerated, or unsubstantiated claims about TrekMail's features, pricing, uptime, deliverability, or any other attribute of the Service.
  • Impersonation: Create websites, social profiles, or content that could reasonably be mistaken for official TrekMail communications, or that imply an official endorsement beyond your affiliate relationship.
  • Incentivized Clicks: Offer cash, prizes, or other incentives to users specifically for clicking Affiliate Links or signing up for TrekMail.
  • AI-Generated Content: Publish AI-generated or AI-assisted content about TrekMail — whether at scale or individually — without (a) meaningful human editorial review to ensure factual accuracy, and (b) clear and conspicuous disclosure of the AI-assisted nature of the content where required by applicable law, platform rules, or the FTC Endorsement Guides. This prohibition applies to all content formats, including but not limited to blog posts, reviews, social media posts, video scripts, and email newsletters. The use of AI tools to generate or substantially draft promotional content does not relieve the Affiliate of their independent obligation to verify all claims and ensure compliance with Section 12.3 (Disclosure Requirements).
  • Trademark Misuse: Register domain names, social handles, or usernames that incorporate "TrekMail," "TrekGuider," or any confusingly similar variation.

12.3. Disclosure Requirements

Affiliates must clearly and conspicuously disclose their material connection to TrekMail whenever promoting the Service, in compliance with the U.S. Federal Trade Commission (FTC) Endorsement Guides (16 C.F.R. Part 255, as revised June 2023) and any equivalent regulations in the Affiliate's jurisdiction (e.g., UK ASA/CAP guidelines, EU Directive 2005/29/EC on Unfair Commercial Practices). Disclosure must be placed in close proximity to the promotional content — and within the same medium — using clear, unambiguous language such as "Affiliate link," "Paid partnership," "I earn a commission if you sign up," or equivalent. For ephemeral content (e.g., social media stories, reels, or live streams), the disclosure must be visible for the entire duration of the endorsement, not merely in a fleeting caption. Disclosure must be made regardless of whether the promotion appears on the Affiliate's own platform, a third-party platform, or in any other medium. Where multiple forms of compensation are received (e.g., free service access and commissions), all material connections must be disclosed.

12.4. Third-Party Analytics and Scripts

Third-party affiliate pixels, tracking scripts, or retargeting tags are not supported on TrekMail-hosted pages. Analytics are provided exclusively through the TrekMail affiliate dashboard.


13. Compliance, Fraud, and Abuse

13.1. Prohibited Conduct

The following conduct is strictly prohibited and will result in immediate commission reversal, account suspension, and/or termination:

  • Self-referrals, as defined in Section 4.4.
  • Generating fake trial signups, using prepaid or stolen payment methods, or any coordinated scheme to generate commissions without genuine customer intent.
  • Arranging or encouraging chargebacks on referred accounts in coordination with the referred account holder.
  • Any other activity designed to artificially generate, inflate, or manufacture commission payments.

13.2. Investigation and Remedies

TrekMail may, in its sole discretion, investigate any suspected policy violation. During an investigation, TrekMail may place a hold on the Affiliate's Available balance. If a violation is confirmed, TrekMail may: (a) reverse all commissions associated with the violation; (b) suspend or terminate the Affiliate's participation in the Program; (c) demand repayment of previously paid commissions obtained through fraudulent activity; and (d) report the conduct to law enforcement or other relevant authorities where appropriate.

13.3. Affiliate Responsibility for Sub-Partners

If an Affiliate operates a sub-affiliate program or sub-partner network without TrekMail's prior written consent, the Affiliate is solely responsible for ensuring that all sub-partners comply with this Policy. Any violation by a sub-partner is treated as a violation by the Affiliate.


14. Intellectual Property and Confidentiality

14.1. Limited License to TrekMail Brand Assets

Subject to the Affiliate's compliance with this Policy, TrekMail grants the Affiliate a limited, non-exclusive, non-transferable, revocable license to use TrekMail's logos, trademarks, and approved promotional materials solely for the purpose of promoting the Service in accordance with this Policy and any brand guidelines provided by TrekMail. This license does not include the right to sublicense, modify, or create derivative works of TrekMail's brand assets.

14.2. TrekMail IP Ownership

TrekGuider Inc. retains all right, title, and interest in its intellectual property, including the TrekMail name, logos, trademarks, service marks, software, and documentation. Nothing in this Policy transfers any ownership rights to the Affiliate.

14.3. Confidentiality of Program Terms

The specific financial terms of the Affiliate's participation — including tier rates and any individually negotiated terms — are confidential between TrekMail and the Affiliate. Affiliates may not publicly disclose their specific commission rates or tier assignments without TrekMail's prior written consent. This Section does not prevent Affiliates from disclosing the general existence of an affiliate relationship as required by disclosure rules under Section 12.3.


15. Relationship of the Parties

The Affiliate is an independent contractor of TrekMail. Nothing in this Policy creates or implies an employment relationship, partnership, joint venture, franchise, or agency relationship between TrekMail and the Affiliate. The Affiliate has no authority to make any representation, warranty, or commitment on behalf of TrekMail, or to bind TrekMail to any agreement.

The Affiliate is solely responsible for all costs and expenses associated with their promotional activities, including web hosting, content creation, advertising spend, and compliance with applicable laws.


16. Modification, Suspension, and Termination

16.1. Policy Updates

TrekMail may update this Policy from time to time. For material changes — such as reductions in commission tier rates — TrekMail will provide at least 30 days' advance notice via email to the Affiliate's registered address or through the affiliate dashboard. Your continued participation in the Program after the effective date of any update constitutes acceptance of the updated Policy. If you do not agree to a material change, you may terminate your participation in the Program within 14 days of receiving notice, and any Available commissions earned prior to the effective date of the change will be paid out in accordance with the prior terms.

16.2. Suspension

TrekMail may suspend an Affiliate's access to the affiliate dashboard and place a hold on their balance at any time if TrekMail reasonably suspects a violation of this Policy, pending investigation. TrekMail will notify the Affiliate of the suspension as soon as reasonably practicable, subject to legal or security constraints.

16.3. Termination by Either Party

Either party may terminate the Affiliate's participation in the Program at any time, with or without cause, by providing written notice to the other party. Upon termination:

  • The Affiliate must immediately cease using all Affiliate Links and TrekMail brand assets.
  • The license granted under Section 14.1 terminates immediately.
  • Commissions for legitimate Qualified Purchases that occurred prior to the termination date and have cleared the Hold Period will be paid out in accordance with Section 10, subject to any Clawbacks.
  • Commissions associated with any violation of this Policy are forfeited.
  • Pending commissions that have not yet cleared the Hold Period at the time of termination will be held for the remainder of the Hold Period and then either paid out or reversed according to their status.

16.4. Program Discontinuation

TrekMail reserves the right to discontinue the entire Affiliate Program at any time upon 30 days' written notice to all active Affiliates. In such event, all Available balances will be paid out in accordance with Section 10 following the 30-day notice period, provided the Affiliate has supplied valid payout details.


17. Disclaimer of Warranties and Limitation of Liability

17.1. No Guarantee of Earnings

PARTICIPATION IN THE PROGRAM DOES NOT GUARANTEE ANY MINIMUM EARNINGS OR REVENUE. TREKMAIL MAKES NO REPRESENTATION OR WARRANTY REGARDING THE VOLUME OF TRAFFIC, CONVERSIONS, OR COMMISSIONS THE AFFILIATE WILL RECEIVE. ALL EARNINGS ARE CONTINGENT ON AFFILIATE'S OWN PROMOTIONAL EFFORTS AND TREKMAIL'S PRODUCT PERFORMANCE.

17.2. Disclaimer of Warranties

THE PROGRAM AND THE AFFILIATE DASHBOARD ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

17.3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TREKGUIDER INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM, INCLUDING LOSS OF ANTICIPATED COMMISSIONS, LOSS OF PROFITS, OR LOSS OF DATA.

CAP ON LIABILITY: IN NO EVENT SHALL TREKGUIDER INC.'S TOTAL LIABILITY TO THE AFFILIATE FOR ALL CLAIMS ARISING UNDER THIS POLICY EXCEED THE TOTAL AMOUNT OF COMMISSIONS ACTUALLY PAID TO THE AFFILIATE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS GREATER.


18. Governing Law and Dispute Resolution

18.1. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

18.2. Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS POLICY OR THE PROGRAM SHALL BE DETERMINED BY BINDING ARBITRATION RATHER THAN IN COURT.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The seat and location of the arbitration shall be Wilmington, Delaware, United States. The language of arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3. Class Action Waiver

THE AFFILIATE AND TREKMAIL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

18.4. Exception for Intellectual Property Claims

Notwithstanding Section 18.2, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement or misappropriation of intellectual property rights, without waiving the right to arbitrate other claims.


19. General Provisions

19.1. Entire Agreement

This Policy, together with TrekMail's Terms of Use and Privacy Policy, constitutes the entire agreement between TrekMail and the Affiliate with respect to the Program and supersedes all prior or contemporaneous representations, understandings, or agreements relating thereto.

19.2. Severability

If any provision of this Policy is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.

19.3. Waiver

TrekMail's failure to enforce any right or provision of this Policy shall not constitute a waiver of that right or provision.

19.4. Assignment

The Affiliate may not assign, transfer, or sublicense any rights or obligations under this Policy without TrekMail's prior written consent. TrekMail may assign this Policy in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to the Affiliate.

19.5. Notices

Notices from TrekMail to the Affiliate will be sent to the email address associated with the Affiliate's account, or posted in the affiliate dashboard. Notices from the Affiliate to TrekMail must be submitted via the methods described in Section 20.


20. Contact Information
